Terms of Use and Website Project Agreement
Two documents in one: the terms for using this website, and the agreement for a website project bought through our websites page. The first binds every visitor. The second binds us and you from the moment a deposit is paid.
1. Who you are contracting with
When this page says we, us or Nabad, it means the licensed company below. When it says you, it means the person or organisation reading this page or buying a project.
We work remotely from Abu Dhabi and do not run a walk-in office, so email is our working address. Anything sent to hello@nabadcs.ae reaches us directly and is answered by a person.
2. What these terms cover
This page is two documents.
- Terms of use. Sections 3 and 4, and sections 17 to 22, apply to everyone who visits nabadcs.ae, whether or not you buy anything.
- The website project agreement. Sections 4 to 22 are the agreement for a website project configured and bought through our websites page. They take effect when you pay a deposit, and they run alongside the written scope we send you.
Where a term applies only to a paid project, it says so. Where your written scope and these terms differ on a project detail, the written scope wins, and on the figures this page publishes it may only improve on them, never worsen them. Where the scope is silent, these terms fill the gap.
AI agents, GovAI, and any work for a government entity are outside these terms.
Those engagements are covered by a separately signed contract with its own scope, pricing, security terms and governing conditions. Nothing you read or do on this website commits either of us to one, and no part of this page applies to them.
3. Using this website
You are welcome to read this site, print any page, quote from it with attribution, and link to any page on it. The design, code, text, images and translations are ours. Copying the design or the code into another site, presenting our work as your own, or harvesting the site to train a model needs our written permission first.
Do not attempt to break, overload, or gain unauthorised access to this site, its payment endpoint, or any file-delivery link we send you.
We keep the site available using reasonable endeavours. We do not promise it is never offline: we deploy changes, and the network and our hosting provider are not ours to control. If the site is unavailable while you were configuring a quote, nothing has been charged and nothing has been agreed.
4. The quote builder, and what a quote is
The builder on our websites page gives you an indicative total. It is a working estimate, not an offer and not a contract. The final scope, timeline and balance are confirmed with you in writing before any work starts.
Every price is recomputed on our own server each time a payment begins. Your browser never names an amount, and an amount sent from a browser is refused. If our published price list changed while your page was open, the payment is stopped and you are asked to reload rather than being charged against a stale price.
A quote you configure is not held for you. Prices can change until a written scope is agreed. Once a scope is agreed, the price in it is fixed for that project.
5. How a contract is formed
- You configure a project in the builder and see the total, the deposit and the balance.
- You tick the acknowledgements. They are short, and they are the terms that matter most at that moment.
- You pay the deposit through Ziina. Card details are entered on Ziina's own checkout and never reach us.
- We reply within one business day with a written scope: deliverables, delivery window, milestones and the final balance.
- You confirm the scope in writing. That confirmed scope, together with these terms, is the contract.
Paying the deposit is your acceptance of these terms as they stand at that moment, and of the acknowledgements you ticked. Under UAE law an electronic acceptance carries the same force as a signature on paper, and neither of us will argue otherwise merely because it was made online.
How we reach you afterwards, plainly: this website has no field anywhere that asks for your email address, so once you have paid, the only address we can hold is one Ziina passes on with your payment. Where it does, we use it to send you the written scope and to run your project. We use it for nothing else, and we do not add you to a mailing list. If you have not heard from us within one business day, email hello@nabadcs.ae.
If we cannot deliver the scope you configured, we say so in that first reply and refund the deposit in full. Nothing obliges you to proceed to a scope you have not agreed.
6. Prices, VAT and the payment schedule
Prices are in UAE dirhams and carry no VAT. Nabad Computer Solutions is not registered for VAT, because its turnover is below the AED 375,000 mandatory registration threshold. No VAT is charged and no VAT line appears on your invoice. If we become registered for VAT we will say so on our terms page, and VAT will be added at the rate then in force to invoices issued after that date; prices already agreed in a signed scope will not change.
The schedule
A deposit of 50% of your configured project total, paid in UAE dirhams. The balance falls due on completion, and we hand over on receipt of it in cleared funds.
Here is that sequence in full, so there is nothing to guess at. Handover means we deploy to your domain and transfer the assets and accounts listed in section 11. The balance falls due when the project is complete and we have told you in writing that it is ready to hand over. Handover itself follows on receipt of that balance in cleared funds, normally the same business day. Until then the work sits on our staging link for you to review, which is what section 11 says: nothing is deployed to your domain, and no account is transferred, before the balance clears.
Where your written scope splits a larger project into phases, each phase carries its own amount and falls due when that phase is complete and you have signed it off.
What we do not add
There is no card surcharge, no payment handling fee, and no logistics fee. The total in the builder is the total you pay us.
Costs that are not ours are named in your written scope before you agree it, and are paid to the provider rather than to us: domain registration fees, commercial font licences, payment-processing fees on your own future sales, and third-party subscriptions.
7. Invoicing
We issue an invoice for every payment you make to us. It is in Arabic, with English set alongside it, and we send it to you by email.
Each invoice carries our statutory name, our commercial licence number, the emirate and our email address, the invoice date, a description of the service, the units and the price in UAE dirhams, the warranty period, and the date the service was provided.
We prepare and send each invoice ourselves. This website does not generate it, and it holds no record of your order · see our privacy page for what the site does and does not keep.
The invoice carries no tax number and no VAT line, and it is not titled a tax invoice. Those belong to a business registered for VAT. We are not one, and issuing a document that looked like one would be wrong.
8. What we deliver, and when
Your written scope lists every deliverable by name: the pages, the features, the languages, the brand assets, and the accounts we set up. If something is not in the scope, it is not in the project, and adding it is quoted before it is built.
The delivery window
We put the delivery window in your written scope before work begins. As a guide: 7 to 14 business days for a standard build, 3 to 5 with Priority delivery, and 14 to 21 for larger e-commerce or multilingual builds. The clock starts on the later of the day we confirm the written scope with you and the day you have given us every item on the inputs checklist. It pauses while we are waiting on you, and restarts when the outstanding item arrives.
We tell you in writing on the day a pause starts and on the day it ends, so the date is never in dispute afterwards. If we miss a delivery date we agreed with you in writing, and the delay was not caused by us waiting on you, you may cancel and receive a full refund. Our refunds page sets out how to ask for it.
9. What we need from you
Your written scope carries an inputs checklist: the text, logo files, images, product data, and the access we need to your domain and to any account we have to connect. It names each item and the date we need it. The delivery clock in section 8 does not start until the list is complete.
What you confirm about the material you send us
- You own the logos, copy, images, fonts and data you give us, or you are licensed to use them for this purpose.
- A photograph of an identifiable person needs that person's permission before you send it to us. If you cannot obtain it, tell us and we will find another image.
- If a third party brings a claim against us because supplied material was not yours to give, you cover us for that claim and its reasonable costs.
The licence you give us
You grant us a licence to reproduce, store, transmit, adapt, translate, publish and make available over networks the material you supply, worldwide, for the single purpose of designing, building, testing, hosting and demonstrating your project, and for the term of that project. We use it for nothing else, and the licence ends when the project ends.
10. Preview, revisions and acceptance
Part-way through the build we send you a preview link so you can see the real thing rather than a description of it. Section 17 sets out what that link is and what it is not.
One full revision round is included. It runs after the first preview and covers one consolidated set of changes, given to us in writing within 10 business days of the preview link. Further rounds are quoted and agreed with you in writing before they start, never billed as a surprise.
Sign-off
The sign-off window is 10 business days, running from the day we send you the preview link or tell you a milestone is ready. Your written scope may give you longer, in which case the longer window applies; it may not give you less. Tell us within that window what does not match the scope and we correct it.
If the window passes without a written objection, we do not simply declare the work accepted. We ask you once more in writing, and if that second request also goes unanswered, the stage is treated as accepted 5 business days after we sent it, so the project does not stall. Acceptance does not shorten the warranty in section 12 and does not affect your rights under UAE law.
What counts as a defect
A defect is work that does not match the written scope. Preferring a different look, where what we built does match the scope, is a change request: we will price it and you decide. Neither of us decides that question alone. If we disagree about whether something matches the scope, we each put our position in writing and section 18 applies.
11. Intellectual property and handover
On receipt of the final balance in cleared funds, we assign to you · worldwide and for the full term of copyright protection · every financial right in the code, design and content we created for your project: reproduction, storage, publication, making available over networks, adaptation, modification and translation, for use in your own business. You get the source code, the design files, the domain and the hosting account. Third-party components · open-source libraries, commercial fonts, stock imagery · are not ours to assign; they pass to you on their own licence terms, and we deliver a written list of them with the code. Until the balance is paid you hold a licence to review the work on our staging link only.
Some things are not ours to give, and no payment changes that.
Open-source libraries, commercial font licences and stock imagery reach you on the licence the provider wrote, not on ours. With the code we hand you a written list naming each component, its version, its licence, where that licence can be read, and anything it asks of you · keeping a notice, publishing source, or staying inside a pageview limit. Where a font licence cannot be transferred, we tell you before delivery so you can buy your own, not after.
Moral rights
The people who wrote and designed your site keep their moral rights. UAE law does not let anyone assign or give those up, so we do not pretend to. We agree this instead: you may modify, extend, refactor, rebrand, translate and redeploy everything we deliver, and we and our named contributors will not object to any of it as a distortion of the work. We consent to publication without attribution, so you may remove any credit line. We have no right to withdraw delivered software from circulation, and we will not seek to withdraw the design assets, copy or imagery made for your project.
Our portfolio
You grant us a licence to show the finished work · screenshots, a link, and a description of what we built · in our portfolio and case studies, worldwide, for as long as we publish them. Nothing is shown before your launch, and we take a project down on your written request.
12. Warranty and putting things right
We warrant that what we deliver matches your written scope and works on current versions of the major browsers on phone, tablet and desktop.
The warranty period is 60 days from handover. Report a defect inside those 60 days and we correct it free of charge, measured against your written scope. Your written scope may name a longer period, in which case that one applies; it may not name a shorter one.
We start correcting a reported defect within 5 business days of your report, and we tell you in writing when we have started and when it is done. That correction period runs from the day you report the defect, not from handover.
Your choice of remedy
Where the service was not provided, was not fulfilled, or does not match what we described, the choice between these three is yours, not ours:
- A full refund of what you paid for the part that failed to be provided or fulfilled.
- A proportionate refund reflecting the shortfall, where the rest of the work stands.
- Correct re-performance free of charge. We start within 5 business days of your report and agree the completion date with you in writing.
Where the failure is attributable to us, we re-perform at your first request. If we refuse, fail, or miss the date we agreed with you, you may take the full refund instead, including the deposit. We instruct any refund within 5 business days of agreeing it.
13. The three-month care bundle
If you bought the care bundle, it runs for three months from handover and covers up to one small edit a week. A small edit is a text change, an image swap, a price or opening-hours update, or a change of that size. Weeks are not banked: an unused week does not carry into the next one. Anything larger is quoted before it is built.
Bug fixes do not count against the weekly allowance and are free for the full three months of the bundle. A bug is behaviour that departs from your written scope. Those three months run longer than the 60-day warranty in section 12, and the bundle never shortens that warranty · where the two overlap, whichever gives you more is the one that applies.
We will not change what the bundle covers while it is running, unless we tell you before the change takes effect and the change either improves the service or is forced by something outside our control. If a change is not acceptable to you, tell us and we refund the unused part.
14. Late payment and suspension
Interest on a late payment runs at 9% a year, the rate UAE commercial law applies. It runs from the day the invoice falls due, without a reminder from us and without our having to prove a loss. It is simple interest and is never compounded. Your written scope may name a lower rate, in which case that one applies; it may not name a higher one.
If an invoice is unpaid after its due date, we write to you, set out what is owed, and give you 14 days from that notice to settle it. If those 14 days pass and the account is still outstanding, we may pause work until it is cleared. We tell you in writing on the day a pause starts.
What a pause never touches
A pause suspends our work and nothing else. We do not take your live site down, we do not hold your domain, your DNS, your accounts or your content, and we do not delete anything of yours. Work restarts when the payment clears, and the delivery window moves forward by the length of the pause.
15. Cancellation, termination and force majeure
You may stop the project at any time before it is finished. UAE law gives you that right and we do not try to remove it. What you owe us is settled on the basis published on our refunds page and repeated here: Cancel before design work starts and we refund the deposit in full. Once design work has started, we refund the deposit less the value of the work actually performed up to the day you tell us to stop, and we send you a written statement of that work. Anything left over is refunded to the card you paid from.
UAE law would additionally entitle us to the profit we would have earned on the remainder. We do not charge it. This published policy is the measure we hold ourselves to, and we will not settle a cancellation on any basis that leaves you worse off than it does.
How the work performed is valued
The value of the work actually performed is measured against the milestone percentages set out in your written scope. Where the scope sets none, it is the proportion of the agreed deliverables completed on the day you tell us to stop. The written statement shows what was done, which stage it belongs to, the figure, and how we reached it. If you think the statement is wrong, say so and we go through it with you line by line.
We instruct the refund within 5 business days of agreeing it. The money returns to the card you paid from, and it lands there on the card issuer's own timetable, which is not something we control.
We may end a project only where an invoice remains unpaid after the 14-day cure period in section 14, where we cannot obtain an input the project cannot proceed without, or where continuing would be unlawful. We tell you why in writing, and we settle on the same basis as above.
Force majeure
If something outside either party's reasonable control prevents performance · a natural event, a general network or provider outage, an act of authority, a conflict · the affected party tells the other in writing as soon as it reasonably can, and says what it expects the effect to be. Obligations are suspended while the event lasts, and the delivery window moves by the same period. Nothing dissolves automatically. If the event runs on so long that the project no longer makes sense for either of us, either party may end it in writing and we settle for the work done to that point, valued the same way.
16. Liability
This section applies to a project contract. It does not create or limit any liability to a visitor who has not bought anything.
We are responsible for the harm we cause. UAE law does not permit anyone to limit or exclude liability for a harmful act, and we do not attempt to.
What we do agree with you is a limit on contractual liability: our total liability to you arising under a project contract is capped at the fees you have paid us for that project. That cap applies to contractual claims only.
The cap does not apply to fraud, to gross fault, to death or personal injury, or to any liability UAE law does not allow us to limit. Nothing in these terms cancels or reduces your right to claim compensation for damage you suffer, and any term that purported to do so would have no effect.
Where we owe you an agreed sum under these terms and you can show your actual loss was greater, or we can show it was smaller, either of us may ask a court to reconsider the figure. We do not ask you to treat any agreed amount as conclusive.
17. Confidentiality
This obligation is mutual. Each of us keeps the other's non-public information confidential, uses it only for the project, and shares it only with people who need it for the project and are bound to the same standard.
It does not cover information that is already public through no fault of the receiving party, that the receiving party already held, or that a law or a competent authority requires to be disclosed. Where disclosure is required, we tell you first unless we are forbidden to.
Everything about your project before launch · previews, staging links, drafts, pricing and internal plans · is confidential and sits outside the portfolio licence in section 11 until you launch.
A word about the links themselves. A preview link, a staging link and a file-delivery link are unlisted, not authenticated: they are not in our sitemap and we ask search engines not to index them, but anyone holding the address can open the page, and the address of a live delivery page can currently be found in a file this site publishes. Treat such a link as confidential and share it only with people who need it. We do not describe those pages as secure, and you should not rely on them as if they were. Our privacy page sets out the position in full.
18. Complaints and disputes
If something has gone wrong, tell us first. Write to hello@nabadcs.ae with Complaint in the subject line, and include what happened, when, and what you would like done. The channel is open permanently and is read by a person.
We acknowledge every complaint within one business day with a reference number, and every message about that complaint quotes the same reference so you can follow it from start to finish. We give you a substantive answer within 5 business days of that acknowledgement, or tell you before those 5 days are up why we need longer and when to expect it. We keep you updated in writing until it is closed, and we tell you in writing what the outcome is and why. These are commitments we set for ourselves, not statutory periods.
If our answer does not satisfy you
You keep your right to take the matter to the Abu Dhabi Department of Economic Development and to the Ministry of Economy. Nothing on this page limits that, and we will not treat it as a breach of these terms.
These terms contain no arbitration clause, and we will not ask you to agree to one for a project bought through this website. Disputes go to the courts of Abu Dhabi. That choice is non-exclusive: if you are outside the United Arab Emirates, you keep any mandatory consumer rights your own law gives you, and any right it gives you to bring a claim there.
19. Governing law and language
These terms, and any project contract made under them, are governed by the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi.
We publish this page in Arabic and in English. The Arabic version is the governing text. The English is provided so the same terms are readable in both languages, and the two are kept substantively identical. If you find a difference between them, tell us and we will correct it.
20. Notices
We agree with you that email is a valid channel for formal notice between us, including notices about payment, suspension, cancellation, termination and complaints.
- Notices to us go to hello@nabadcs.ae.
- Notices to you go to the email address named in your written scope. Until a scope names one, they go to any address Ziina passed on with your payment, and if we hold none, to any address you have written to us from.
- Timing. A notice is treated as given on the business day it is sent, unless the sender receives a delivery failure, in which case it must be sent again to a working address.
Keep your address current. If it changes, tell us in writing before it stops working.
21. Changes to these terms
We update this page as the business changes. A change binds future purchases only.
The version in force on the day you paid your deposit governs your project for its whole life. We do not amend, reinterpret or terminate a live project on our own, and we do not apply a later version of this page to work already agreed. Any change to an agreed scope is a change both of us confirm in writing.
Where a change is material, we say so at the top of this page and, if you have a project running, we email you.
22. Version and effective date
- Version 1.0
- Effective 30 August 2026
- Published by NABAD COMPUTER SOLUTIONS - L.L.C - S.P.C, Abu Dhabi, United Arab Emirates
Earlier versions are kept and we send you the one that governs your project on request. Write to hello@nabadcs.ae.
